# Terms of Service

Effective October 14, 2026. Hollis LLC, 4543 40th St, Sunnyside, NY 11104.

## Who we are

Hollis is software for running adult recreational sports leagues: registration, payments, rosters, schedules, officials and email. It is made and operated by Hollis LLC, a New York limited liability company at 4543 40th St, Sunnyside, NY 11104 ("Hollis", "we", "us").

These Terms of Service (the "Terms") are a contract between you and Hollis. They cover hollisapp.com, the Hollis application, its REST API and its MCP server (together, the "Service").

## Agreeing to these terms

By creating an account, joining an organization, registering for a program, connecting an assistant or otherwise using the Service, you agree to these Terms and to the Privacy Policy. If you use the Service on behalf of an organization, you confirm that you have the authority to bind it, and "you" includes that organization.

If you do not agree, do not use the Service.

## Eligibility

You must be at least 18 years old to hold an account or register for a program through Hollis. The Service is for adult recreational leagues. We do not knowingly allow anyone under 18 to hold an account, and we remove an account when we learn that its holder is under 18.

An organization that uses Hollis is responsible for making sure that the people it registers meet this requirement. Hollis asks every player their date of birth and refuses a registration from anyone it makes under 18 on the day they register.

## Your account

You need an account to use most of the Service. Give us accurate information and keep it current. Keep your password, sign-in links and API tokens to yourself. You are responsible for everything done under your account, including by an assistant or application you connected to it.

Tell us at once at hello@hollisapp.com if you believe your account has been used without your permission.

You may change the email address you sign in with and delete your account from Your account. Deleting an account is refused while you owe money, hold unspent credit, have a live registration in any organization, or captain a team whose season is running. A deleted account can no longer sign in; the records that name you stay with the organizations they belong to, as the Privacy Policy describes.

## Organizations and roles

A league, club or operator uses Hollis as an organization. The organization decides who its members are and what each role may do. Owners can change roles, grant and revoke access, and remove members. Hollis acts on those decisions and does not make them.

Each organization runs its own leagues and is responsible for its programs, prices, refund terms, waivers, schedules and communications, and for complying with the laws that apply to them. Hollis provides the tools and is not a party to the relationship between an organization and the people who play in it.

## Plans, fees and renewal

An organization starts on Free: its first 10 registrations cost nothing. After that it is on one of three paid plans, Starter, Standard and Premium, which differ only in how many registrations a month they include. Each is billed every month, or every year at ten times the monthly price, and each registration past the plan's number in a billing month is charged at the per-registration rate, on a monthly plan's next invoice or on a monthly invoice of its own for a yearly plan. The prices, numbers and rate are those shown on the Pricing page when a plan starts or changes, and we will tell you before any of them changes. Hollis takes no share of the payments an organization collects through the Service.

A card must be on file before an organization takes its first registration; we ask for it, through Stripe, the first time the organization opens registration. The registration after the 10 free ones starts Starter automatically, charged to that card, and so does the first registration after a cancelled plan has ended. A registration counts when it takes a place, including one later cancelled; a place on a waitlist counts when it is filled.

Every paid plan renews automatically, each month or each year, until it is cancelled. By putting a card on file, or by choosing or changing a plan, you agree to be charged the plan's price on each renewal date until you cancel, and the charge for registrations past the plan's number in each billing month. Moving to a bigger plan, or from monthly to yearly, takes effect at once, with the rest of the current period charged in proportion; moving to a smaller plan, or from yearly to monthly, takes effect at the next renewal. You can cancel at any time from your organization's settings or by writing to hello@hollisapp.com; the plan stays on until the end of the period paid for, and we do not refund a partial period. We will tell you clearly, before you agree, what a plan costs and how often it renews, and we will remind you if the price changes.

If a charge is declined, Stripe tries the card again and we email the organization's billing contact, who is the member the organization names in its settings. Registrations are not paused while a charge is unpaid, and the organization remains responsible for what it owes.

Taxes are added where the law requires. The organization is responsible for any tax on what it collects from players.

## Payments through Stripe

Card payments are processed by Stripe, Inc. on the organization's own Stripe account, which the organization connects to Hollis. By connecting a Stripe account the organization agrees to the Stripe Connected Account Agreement and the Stripe Services Agreement. The organization, not Hollis, is the merchant of record for the fees it collects from players, and Stripe pays the organization directly.

Hollis never sees or stores a full card number. Stripe's processing charge is kept out of what the organization receives. Where an organization chooses to pass that charge on to a payer, Hollis shows the card price as a total beside any other price, as New York law requires, and never adds a charge to a debit or prepaid card.

## Refunds and cancellations

Each program states its own refund terms, which the organization sets before registration opens and which Hollis shows to the player before they pay. Refunds to players are the organization's decision, made under those terms through the Service and paid by Stripe to the card that paid.

Hollis takes no fee from a payment, so none is kept back from a refund. Whether Stripe's processing charge is kept back is the organization's setting, and the program's refund terms say which applies before the player pays. A dispute about a refund is between the player and the organization; write to the organization first.

## Registrations, waivers and play

When you register for a program you may be asked to accept the organization's waiver and to supply the details the organization asks for. A waiver accepted through Hollis is an agreement between you and the organization. Hollis records when it was accepted and keeps a copy for the organization; Hollis is not a party to it.

Hollis does not organize, supervise or insure any game, practice or event. Playing a sport carries a risk of injury. Whether and how that risk is addressed is a matter between you and the organization running the program.

## Acceptable use

Do not use the Service to:

- break the law or help anyone else break it;
- send unwanted or misleading email, or send to people who have asked an organization to stop;
- reach, copy or alter data that your role does not allow you to reach;
- impersonate another person or organization;
- probe, scan or overload the Service, or interfere with anyone else's use of it;
- resell or sublicense the Service, or build a competing service by copying it;
- upload anything that infringes someone else's rights or contains malicious code.

We may remove content and suspend or close accounts and organizations that break these rules.

## Content and data

Your organization owns the data it and its members put into Hollis: rosters, programs, schedules, messages, waivers and payment records. You give Hollis permission to store, process, display and transmit that data as needed to run the Service for you, to keep it safe, and as the Privacy Policy describes. We do not sell it and we do not use it to advertise to anyone.

Hollis owns the Service itself, including its software, design and documentation. You may use it only as these Terms allow. Hollis may use feedback you give us without any obligation to you.

If you believe content on the Service infringes your copyright, write to hello@hollisapp.com with the work, the location of the content and your contact details, and we will act on it.

## Assistants and connected apps

You may connect an assistant or application to your account through an API token or the Hollis MCP server. It acts as you, within the organization you chose and the access you gave it, which may be read only. Everything it does is your doing under these Terms. You can see what is connected and revoke it at any time from your account.

Hollis may offer its own assistant features. Changes they propose that would delete or alter money or records wait for your approval, and the approval shows what will change from the record itself, never from the assistant's description alone.

## Email and messages

Hollis sends email on an organization's behalf: receipts, confirmations, schedule changes, reminders and the announcements the organization writes. Transactional mail about your own registrations is part of the Service. Announcements carry a way to stop receiving them, and Hollis honours that choice.

The organization is responsible for what it sends and to whom. Hollis records whether a message was delivered so the organization can see it.

## Availability and changes

We aim to keep the Service available at all times and we may change, add or remove features. We will give reasonable notice of a change that removes something an organization relies on. We may change these Terms; for a material change we will email account holders at least 30 days before it applies, and the effective date at the top of this page will change. Using the Service after that date means you accept the new Terms.

## Termination

You may stop using the Service at any time, and an organization owner may close the organization. Hollis may suspend or close an account or organization that breaks these Terms, that does not pay what it owes, or where the law requires it, and we will tell you why unless the law forbids it.

An organization owner may ask us at hello@hollisapp.com to close the organization. Sections of these Terms that by their nature should survive, including those on content, disclaimers, limitation of liability, indemnification and disputes, survive termination.

## Disclaimers

The Service is provided "as is" and "as available". To the fullest extent the law allows, Hollis disclaims all warranties, express or implied, including fitness for a particular purpose, merchantability, title and non-infringement, and does not promise that the Service will be uninterrupted, error-free or secure. Hollis makes no promise about any organization, program, location, official or player.

## Limitation of liability

To the fullest extent the law allows, Hollis is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising out of or related to the Service, however caused. Hollis's total liability for all claims relating to the Service in any twelve-month period is limited to the greater of the fees you paid Hollis in that period and one hundred US dollars.

Some laws do not allow some of these limits. Where that is so, they apply only as far as the law permits. Nothing in these Terms limits liability for fraud, gross negligence, wilful misconduct, or anything that cannot be limited under New York law.

## Indemnification

If you are an organization, you will defend and indemnify Hollis and its members, managers and employees against claims, losses and expenses, including reasonable legal fees, arising from your programs, your content, your communications, your use of the Service, or your breach of these Terms or of the law.

## Governing law and disputes

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-law rules. Any dispute arising out of or relating to these Terms or the Service will be brought only in the state or federal courts located in New York County, New York, and you and Hollis each consent to the personal jurisdiction of those courts. Before filing, write to hello@hollisapp.com and give us 30 days to resolve the matter with you.

Nothing in this section stops either party from seeking an injunction in any court to protect its rights, or from bringing an individual claim in a small claims court that has jurisdiction.

## Electronic communications

You agree to receive notices, agreements and records from Hollis electronically, by email or on the Service, and that electronic records and signatures made through the Service, including accepting a waiver or these Terms, have the same effect as paper ones under the New York Electronic Signatures and Records Act. You can ask for a paper copy of these Terms at hello@hollisapp.com.

## General

These Terms, the Privacy Policy and any plan you choose are the whole agreement between you and Hollis about the Service. If a part of them is found unenforceable, the rest stands. Hollis's not enforcing a term is not a waiver of it. You may not assign these Terms without our written consent; Hollis may assign them to a successor to its business. Neither party is liable for delay caused by events beyond its reasonable control.
